The terms and conditions for using MelodyTrace, including acceptable use, payments, and intellectual property.

1. Acceptance of Terms
These Terms of Service (these "Terms") form a binding agreement between you and MelodyTrace ("MelodyTrace", "we", "us", or "our"). By accessing or using our website and services (together, the "Service"), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Service.
You must be able to form a binding contract under applicable law to use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" refers to that organization.
2. Description of the Service
MelodyTrace is an online music toolset that currently includes, without limitation:
- Converting audio files (such as MP3, WAV, FLAC, M4A, AAC, AIFF, and OGG) to MIDI using automated transcription.
- Extracting the audio track from video files (such as MP4, MOV, and WEBM) and transcribing it to MIDI.
- Rendering MIDI files back to audio (such as MP3), using built-in or user-supplied SoundFonts (SF2/SF3).
- Editing transcribed notes in a browser-based piano-roll editor, and viewing them as sheet music.
- Creating MIDI from text notes, converting between MIDI-related formats, and converting MusicXML to MIDI.
- Saving conversion history, sharing results via links, and purchasing credits or subscriptions.
Some features are available without an account; others require one. We may modify, suspend, or discontinue any part of the Service at any time, and we may add or remove features.
Transcription accuracy. Audio-to-MIDI transcription estimates musical information (such as pitch and timing) from a recording using automated models. Results depend heavily on the source material — for example, polyphonic, noisy, or highly reverberant audio may transcribe poorly. Output is provided as a starting point for editing, not as a guaranteed exact transcription, and may contain errors.
3. Accounts
- You may use many features of the Service without registering. To use features such as conversion history or purchases, you need an account, which you can create with an email address or by signing in through a supported third-party provider (such as Google or GitHub).
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us promptly if you suspect unauthorized use.
- You must provide accurate information and keep it up to date. We may suspend accounts with false or misleading registration information.
- You may close your account at any time from your account settings. Closing your account removes your conversion history and invalidates your share links; underlying files are removed in accordance with our Privacy Policy.
4. Your Files and Content
- You retain all rights to the files you upload, record, or create with the Service, including the MIDI files and audio you generate.
- By uploading a file, you grant us a limited, non-exclusive, worldwide license to process, host, and transmit that file solely as needed to provide the features you request (including conversion, rendering, storage of your results, and serving shared results), and to improve and protect the Service.
- You represent and warrant that you own or have the necessary rights and permissions to upload and process the files you provide, and that doing so does not infringe any third party's copyright, privacy, or other rights.
- Shared results. If you share a result, anyone who obtains the link may be able to access it. Do not share material you do not have the right to distribute. You can invalidate a share link by deleting the corresponding task or result.
5. Acceptable Use
You agree that you will not:
- Violate any applicable law or regulation, or infringe the intellectual property, privacy, or other rights of any party.
- Upload content that is unlawful, harmful, defamatory, or contains malware.
- Upload or share content you are not legally entitled to use or distribute.
- Attempt to gain unauthorized access to, interfere with, probe, scan, or disrupt the Service, its servers, or its infrastructure.
- Use automated means (bots, scrapers, scripts) to access the Service in a manner that imposes an unreasonable load, or to circumvent or abuse technical limits — including file size and duration limits (such as the 50 MB and 10-minute per-file limits), rate limits, or the intended browser-based workflow.
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except where such restriction is prohibited by law.
- Resell, sublicense, or redistribute the Service or access to it as your own product without our written permission.
- Use the Service to misrepresent the authorship or provenance of musical works.
We may investigate and suspend or terminate access for violations of this section, and may remove content that violates these Terms.
6. Paid Services: Credits, Subscriptions, and Refunds
- Credits and subscriptions. The Service offers free usage with limits, and may offer paid credits or subscription plans that raise or remove certain limits. Plan features, prices, and limits are published on the pricing page and may change; changes do not apply retroactively to purchases already made.
- Payment processing. Payments are processed by third-party payment providers (such as Stripe, PayPal, Alipay, or WeChat Pay). Your payment is subject to the provider's terms and privacy policy. We do not store your full card or bank credentials.
- Subscriptions. Paid subscriptions renew automatically for successive billing periods until cancelled. You can cancel at any time from your account settings; cancellation takes effect at the end of the current billing period, and you retain access until then. We may offer refunds for the unused portion of a subscription period where required by applicable law.
- Credits. Unless required by applicable law or explicitly stated at purchase, purchased credits are non-refundable and non-transferable, and may expire as indicated at the time of purchase. Credits have no cash value.
- Failed renewals. If a renewal payment fails, we may suspend the paid features until payment succeeds or the subscription is cancelled.
- Taxes. Prices are shown exclusive or inclusive of taxes as indicated at checkout; where applicable, you are responsible for any taxes not collected by us.
7. Intellectual Property
- The Service itself — including its software, design, branding, and original content — is owned by or licensed to us and is protected by copyright, trademark, and other laws. These Terms do not transfer any rights in the Service to you.
- This does not affect your ownership of the files you upload or the MIDI and audio you create with the tools, as described in Section 4.
- The transcription technology used by the Service is based in part on open-source models and libraries, which are used under their respective licenses.
8. Third-Party Services and Content
The Service integrates with third-party providers (for example, payment processors, sign-in providers such as Google and GitHub, analytics and advertising providers, and hosting infrastructure). Your use of those services is subject to their own terms and privacy policies. If you supply your own SoundFonts or other third-party material, you are responsible for complying with the licenses attached to them.
The Service may display advertising served by third parties (such as Google AdSense). We are not responsible for the content of advertisements or the practices of advertisers.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT TRANSCRIPTION RESULTS WILL BE ACCURATE OR COMPLETE, OR THAT YOUR FILES WILL BE PRESERVED — PLEASE KEEP YOUR OWN BACKUP OF ANY FILE THAT MATTERS TO YOU.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL MELODYTRACE OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR FILES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR ONE HUNDRED US DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to indemnify and hold harmless MelodyTrace from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your files or content, your violation of these Terms, or your infringement of any third-party right.
12. Suspension and Termination
We may suspend or restrict access to the Service, or terminate accounts, at any time if these Terms are violated, if required by law, or to protect the Service, its users, or third parties. You may stop using the Service at any time by discontinuing use and, if you have an account, closing it. Sections that by their nature should survive (including Sections 7, 9, 10, and 11) survive termination.
13. Governing Law and Disputes
These Terms are governed by the laws of the jurisdiction in which MelodyTrace operates, without regard to conflict-of-law principles. Any dispute arising out of these Terms or the Service will be resolved in the courts of that jurisdiction, unless applicable law provides otherwise. If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.
14. Changes to These Terms
We may modify these Terms from time to time. Material changes will be reflected by updating the date at the top of this page and, where appropriate, by a notice on the Service. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, stop using the Service.
